1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the website siditools.com and the purchase and use of the software products offered on it (“Software”), including SidiFootprint and the other Sidi tools for NinjaTrader 8. The website and Software are provided by Axeon Technologies FZCO (“we”, “our”, “us”). By accessing the site, registering for a demo, or purchasing a license, you agree to these Terms. If you do not agree, please do not use the site or the Software.

3. The Software and NinjaTrader

Our Software consists of add-on indicators and tools that run on the third-party NinjaTrader® 8 platform, which you must license and install separately from NinjaTrader Group, LLC. Our Software is independent of NinjaTrader Group, LLC; NinjaTrader® is a registered trademark of its owner and is used for identification only. You are responsible for meeting the technical requirements needed to run the Software.

4. Free demo

We offer a free 14-day demo of the Sidi tools, without requiring a credit card. The demo is provided for evaluation only and may include limitations. We may modify or discontinue the demo at any time. You agree not to misuse or attempt to circumvent the demo mechanism.

5. Orders, pricing and payment

Purchases are sold and processed by our authorized reseller and Merchant of Record, Freemius, Inc. When you buy a license, your contract of sale for payment is with Freemius acting on our behalf, and Freemius’ checkout terms also apply. Prices are shown on the site and at checkout and may change over time; the price displayed at the time of your order applies to that order. Applicable taxes are handled by Freemius. Licenses are delivered electronically after successful payment.

6. Licenses

Subject to payment and these Terms, we grant you a non-exclusive, non-transferable license to install and use the Software for your own trading, in accordance with the specific plan you purchase (for example, a subscription or a lifetime license, and any device/seat limits stated at checkout). You may not resell, redistribute, sublicense, rent, share, reverse-engineer or attempt to defeat the licensing or protection of the Software, except to the extent such restriction is prohibited by law.

7. Refunds and cancellation

Because a free 14-day demo lets you fully evaluate the Software before purchase, please test it during the demo period. Refunds and cancellations are handled in accordance with our refund policy and the checkout terms of Freemius. Subscription plans renew until cancelled; you can cancel a subscription to stop future renewals. To request a refund or cancellation, contact mail@siditools.com.

8. Intellectual property

All content on this website and all Software — including source and object code, text, images, graphics, video and logos — is the property of Axeon Technologies FZCO or its licensors and is protected by intellectual-property laws. Your license grants use rights only and does not transfer ownership. You may not copy, reproduce, redistribute or use any content or Software for commercial purposes without our prior written consent.

9. Acceptable use

You agree to use the website and Software lawfully and not to interfere with their operation or security, not to attempt unauthorized access, and not to use them in any way that infringes the rights of others.

10. Trading-risk disclaimer & no professional advice

Trading futures, forex and other financial instruments involves substantial risk of loss and is not suitable for everyone. The Software provides market-analysis and order-flow visualization only. Nothing on this site or in the Software constitutes financial, investment, legal or tax advice, a recommendation, or an offer to buy or sell any instrument. Any examples or performance figures are illustrative and are not a promise of results. You are solely responsible for your own trading decisions and their outcomes.

11. Disclaimer of warranties

The website and Software are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the maximum extent permitted by law. We do not warrant that the Software will be uninterrupted, error-free, or compatible with every configuration.

12. Limitation of liability

To the maximum extent permitted by law, Axeon Technologies FZCO shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or trading losses, arising from or related to your use of (or inability to use) the website or Software. Where liability cannot be excluded, it is limited to the amount you paid for the Software in the twelve months preceding the event giving rise to the claim.

13. Third-party links and services

The site may reference or link to third-party websites and services (including NinjaTrader, Freemius and others). We do not control and are not responsible for their content, products or practices, and your use of them is governed by their own terms.

14. Amendments

We may update these Terms from time to time. Updates are posted on this page with a revised “last updated” date, and your continued use of the site or Software after changes take effect constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates. The courts of Dubai shall have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
